Terms and Conditions for Membership

 

MISSION

Artificial intelligence is poised to enact profound change across the dental industry. We will see dramatic increases in accuracy and transparency, improved patient care and automation on a variety of levels. This is a truly exciting time and has given rise to many questions. The mission of the Dental AI Council (DAIC) is to help answer those questions, while bringing clarity and foresight to the discourse surrounding AI's role in the dental industry of tomorrow. In so doing, the DAIC seeks to elevate the standard of dental healthcare around the world.

FUNCTION

The primary function of the organization is to conduct independent research that helps empirically define where and how AI will most significantly impact the dental industry, validate the technology’s performance and capabilities, and answer fundamental questions related to AI's role in the oral healthcare ecosystem of tomorrow. In addition to research, the DAIC endeavors to produce and disseminate AI-related educational programming, thought leadership content and public advocacy initiatives. Ultimately, the DAIC is undertaking these research and educational efforts with the aim of empowering dental industry constituents to not only make the most of AI’s potential, but also to operate thoughtfully in relationship with the technology.

MEMBERSHIP

To ensure that its research, education and roadmapping efforts serve all dental stakeholders, the Dental AI Council is composed of representative members from every major industry. Membership is open to all who wish to join and are willing to embrace the responsibilities of membership while adhering to the terms and conditions of membership defined in this text. Members may resign at any time. Members who resign not entitled to an annual dues refund or any other form of remuneration. dues. Membership is revokable and may be revoked at the sole discretion of the DAIC’s Board of Directors. If membership is revoked due to a breach of these terms and conditions of membership, the member will not be entitled an annual dues refund or any other form of remuneration. If membership is revoked and breach of the Terms and Conditions of Membership, the member will be entitled to a pro-rated refund of their annual DAIC dues.

MEMBERSHIP TYPES & DUES

Four types of membership are available: Individual, Corporate/Institutional, Practitioner/Clinician and Student. Dues, which cover one year of DAIC membership from the date of payment. vary between membership types and are subject to change at any time at the sole discretion of the DAIC Board of Directors. All membership types offer the same benefits, with exception of the Corporate/Institutional membership.

Corporate Membership

The Corporate/Institutional membership grants up to three Individual memberships to employees, logo placement on the DAIC’s Corporate/Institutional membership page and, when sponsorship opportunties are available, discounted sponsorship rates. Corporations or institutions do not have a voice on the Council; their voice will be represented by the three employees who are assigned Individual memberships. Authorized corporate or institutional personnel may transfer their allotted Individual memberships between employees at any time by submitting a request to the DAIC.

Limitations of Practitioner/Clinician and Student memberships

The reduced rate Practitioner/Clinician membership is available only to practicing dental care provider and support stuff, who are neither employed by nor have any other income generating affiliation with a non-clinical enterprise, corporation or institution. The reduced rate Student membership is available only to students who are actively enrolled in an accredited educational institution and are neither employed by nor have any other income generating affiliation with a non-educational institution, enterprise or corporation.

Practitioner/Clinician and Student members may be asked to provide proof of membership-type eligibility. If a Practitioner/Clinician or Student member is determined to be ineligible they will be required to switch to Individual membership and pay the full rate. If they do not do so, their membership will be terminated and they will forfeit any dues paid.

INTENT OF THE TERMS AND CONDITIONS OF MEMBERSHIP

The purpose of the DAIC Terms and Conditions of Membership (“Terms”) is to serve as a standard of conduct for all members and their companies. Compliance with the Terms is a requirement for membership in the DAIC. The Terms embody the DAIC’s mission and confirm that members and member companies shall act with fairness, honesty, and the highest ethical standards in all business activities; for DAIC members and member companies, upholding the highest ethical standards is an essential requisite.

By abiding by the Terms, each DAIC member and member company affirms that their role as members is to support the advancement of artificial intelligence within the dental industry in the interest of establishing the most consistent and highest quality standard of dental healthcare possible. In general, but especially those attendant to all activities pertaining to dental healthcare, to the DAIC members and member companies are expected to conduct themselves in ways that will merit the trust, confidence, and respect of dental professionals and the general public. When engaging a DAIC member or member company, dental professionals and members of the public alike can be sure they are dealing with a person or organization committed to the higher purpose of advancing the future of dentistry through artificial intelligence, ethically and without bias.

MEMBER CONDUCT

Members will conduct themselves according to the highest standards of professionalism in the dental AI industry. All DAIC members are participating in the DAIC in their individual capacities as experts in the field and are not acting on behalf of any company or organization. The purpose of the DAIC is not collusion among its members or to benefit the progression of specific technologies or any specific company or group of companies, but rather to advance the dental AI industry as a whole. All proposals made in DAIC meetings will be intended to serve the best interests of the dental industry and its consumers, and not to diminish competition within the dental AI industry.

To the maximum extent possible, each DAIC member will disclose to the rest of the DAIC any financial, professional or personal interest such DAIC member or such DAIC member’s employer has in each topic under discussion by the DAIC. Each DAIC member with such an interest in a topic of discussion will abstain from the discussion of such topic unless otherwise decided by the DAIC. For example, if a DAIC member’s employer, or a company in which a DAIC member has a financial interest, holds intellectual property rights that would be strengthened or weakened by a particular action of the DAIC, the DAIC member must disclose such information to the DAIC and abstain from discussion of such action. 

In addition to adhering to the terms of conduct outlined above, members are expected to adhere to the following articles of ethics:

Article I.  DAIC Members Act with Integrity

DAIC member companies act with honesty, integrity, fairness and respect towards all. It is important for DAIC members and member companies to act in a manner that in no way detracts from the DAIC’s mission. This means they must perform with the utmost care and consideration in all business and public facing activities, while refraining from engaging in activities that damage the credibility of the DAIC or any businesses in the dental industry endeavoring to advance the role of artificial intelligence in dentistry. All DAIC members and a member companies must comply in good faith with all material requirements of law in any city, county and state in which they do business. Therefore, these Terms do not restate all legal obligations.

Article II. DAIC Members Are Committed to Promoting the Role of Artificial Intelligence in Dentistry

Artificial Intelligence will play a vital role in the elevating the standard of dental healthcare and ensuring the consistency, quality and fairness of all dental industry functions. These benefits will improve trust in the dental field, catalyzing dental industry growth and increasing efficiency, efficacy and access to dental healthcare worldwide. By virtue of membership in the DAIC, members and member companies have shown their commitment to promoting these benefits and place their trust in the DAIC to promote these benefits in any manner it deems appropriate

Article III. DAIC Members Never Interfere with the Decision Making, Treatments, Services, Products, Sales or other Business or Clinical Operations Conducted by Third Parties

DAIC members and member companies recognize and support the autonomy of all stakeholders in the dental industry and will not interfere in the independent operations of stakeholders in the course of promoting the role of artificial intelligence in dentistry. The DAIC and its members promote the role of artificial intelligence in dentistry by furnishing research, education and thought leadership alone.

Article IV. DAIC Members Only Promote Credible Information

DAIC members and member companies endeavor to promote artificial intelligence in dentistry using only the most up-to-date data, knowledge and insights available and make every effort to avoid the advancing unvalidated information related to artificial intelligence in dentistry. DAIC members and member companies do not promote or otherwise disseminate information that could impugn the credibility of the DAIC.

CONFIDENTIALITY

DAIC members will keep in the strictest confidence the content of all DAIC discussions and written materials produced by or for the DAIC and will not use any such content or materials for any reason outside of the business of the DAIC or disclose any such content or materials to any third party. If a member leaves the DAIC, the member must deliver to the DAIC all materials containing information pertaining to the DAIC in the member’s possession.  For the avoidance of doubt, information that is public, or that properly enters the public domain, or that is in the possession of the DAIC member will not be deemed to be confidential for purposes of this paragraph.

INTELLECTUAL PROPERTY

If any intellectual property is created during DAIC meetings or otherwise in conducting the business of the DAIC, no DAIC member may claim ownership of such intellectual property. No DAIC member will gain or lose any rights in any intellectual property whatsoever as a result of participating in the DAIC.

AMENDMENTS

This Member Agreement may be amended from time to time by approval of a simple majority of the DAIC and a copy of such amendment will be provided to each DAIC member.
